Senior Legal Counsel – Private Equity Firm

This is a great opportunity to join a leading global PE house that is growing its legal team in Luxembourg. You will be part of a hard-working and ambitious team, which is an integral part of the global fund operations, accounting, and legal functions. You will manage the Lux Real Assets legal team (under the supervision of the Segment Lead) in the setting up of Luxembourg structures, and the day-to-day administration of the Luxembourg companies in compliance with legal requirements and provide support to the deal teams and fund management at the various stages of the investments and in particular, at signing/closing of transactions for the Real Assets deal teams using Luxembourg structure. We are looking for a candidate that is currently holding a senior position at a law firm or an Asset Management Company (min 7 years) and has a previous experience with transactions/deals related to Real Assets, and managing teams. Some of the Key Responsibilities Review / prepare relevant legal transaction documentation regarding the Luxembourg companies’ life cycle (acquisition, holding period, divestment….) Prepare contracts, agreements, reports, or review such documents Co-ordinate investment documentation and report to the Luxembourg custodian Participate as a board member of some Luxembourg companies Review of all the documentation for shareholders’ general meetings Organization of quarterly meetings held in Luxembourg: coordinate dates, review the minutes, and the board pack prepared by the internal legal team Review of resolutions of the Board of Managers and of the Shareholders and all related documentation Review of engagement letters and letters of interest submitted by the deal teams Review of all legal documentation relating to investments Leading out of Luxembourg signing/closing of transactions Manage the legal team and coordinate with the accounting team and deal teams Develop internal working procedures and assist with training of procedures Liaise and ensure AIFM involvement across structures and deals where relevant Process management with the external service providers Role Requirements Degree in Law or Business Administration Qualified Lawyer Good knowledge and understanding of Luxembourg corporate Law Minimum 7 years of experience in the transactional department of a Luxembourg law firm or an Asset Management Company Experience in a similar position or as a corporate lawyer specialising in private equity / real estate required Fluent in English and French Wide experience in coordinating with third-party investors, accountants and attorneys, in particular in signing/closing transactions Experience with SICARs Job advantages In-house role, a reputable, globally leading PE brand Being part of a dynamic and ambitious team Highly competitive Salary Challenging an…
