Senior Company Secretary / Legal Officer – Alternative Fund

Our client is building a new Luxembourg holding company to support its infrastructure fund. It seeks an experienced Company Secretary / Legal Officer to establish a professional corporate governance function for the entities within the fund, and be a true support to the Board. This is a great opportunity for an experienced professional Company Secretary, especially if you have experience of setting up a new function and /or insourcing work from a corporate service provider. Prior in-house experience will be preferred. You will use your experience and knowledge to develop and lead the company secretarial function, plus associated compliance, record keeping and general legal matters working independently and adapting as the business grows. In this role you will : Ensure the company adheres to the highest standards of corporate governance Develop processes and procedures for the company secretarial responsibilities Drive the organisation of Board meetings, be hands on: coordinate and convene meetings, prepare board packs, quality review of meetings documentation and draft complex minutes Work with the investment management team relating to approval of transactions, coordinate of Board meetings and the execution of various documentation Drive excellence in the documentation holding/filing for all relevant corporate documents (AGM, power of attorney, signatures, RCS filing, circulars etc..) Provide expertise to internal and external parties in answering queries and guidance on corporate governance Continually drive change and improvement in corporate governance Work with the Group on various legal matters providing legal expertise where relevant/possible Skills required: Ideally an ICSA qualification 10+ years of experience in a ‘Company Secretary’ providing corporate governance and oversight Fluent business level English is essential Prior experience in running a Co Sec team is important Experience in setting up a Company Secretary function is an advantage Practical experience of working in Luxembourg is essential If you are interested in this position, please apply in English as a priority!
