The Position

Job Summary

M&A has always been a critical aspect of Imerys growth strategy in the past 20 years and remains absolutely key for the Group with an ambitious external growth plan for the years to come, after having completed several major divestitures in the recent months. This encompasses potential large M&A transactions, as well as numerous bolt-on acquisitions in all regions and a continuous pipeline of JV and similar cooperation agreements.

Job Position

Title : Group M&A LawyerH/F

Summary of position : he or she will be in charge of the legal management and handling of M&A matters for the Imerys Group including special projects (joint venture, partnerships, etc.), with the assistance and under the supervision of the Group M&A Legal Director.

Reporting: Group M&A Legal Director.

Core areas of legal assistance to be provided: Assisting the divisions and/or the Group strategy department for all legal aspects of external growth projects, worldwide, under the supervision of the Group M&A Legal Director, including:● the design of the strategy of approach and structuring of the deal at the outset of the project,● the organisation of the due diligence process generally speaking and the performance of the legal due diligence review (internally and/or with the assistance of external legal counsels),● the drafting and negotiation of the project documentation (LOI, MoU, SPA, JV agreements, transition services agreements, etc.), internally and/or with the assistance of external legal counsels,● the organisation of the closing,● the management of post closing issues including adjustment of price and disputes on representations and warranties claims, for a wide range of project types (acquisition, disposal, joint venture and other special projects – strategic cooperation, etc.) ̧ size and geographies.

Depending on the size, complexity and/or strategical aspects of the project, the Group M&A lawyer will lead the legal aspects of the external growth project on a first chair basis or on the second chair basis with the Group M&A Legal Director and/or the Group General Counsel. He or she will also from time to time assist local Business Legal lawyers for purely local Business Areas levels deals.The Group M&A lawyer will have to work in close relation and cooperation with (i) the other members of the legal team (local Business Legal lawyers working for the relevant Business Area, the members of the other specialized departments of the Group Legal Department e.g. Compliance & Antitrust, IP, Insurance, Corporate, etc.) as well as (ii) other support functionsof the Group (tax, treasury, EH&S, etc.).

Profile:− Excellent drafting and negotiation skills of complex agreements (including joint venture agreements and price clauses) and quality and reliability of legal expertise and relevance of advices to achieve the stated business goals;− Willingness and ability to work in an international environment;− Didactical with superior communication skills and business orientation approach when discussing with management teams and anticipation of potential legal risks;− Capacity to work hard and autonomously with a satisfactory degree of resistance to stress;− Team player.

Position Requirements:− This position requires a JD/ LLB/Master II or any other equivalent Law Degree (in France or other European country) and around 5-8 years of very solid and successful broad-based M&A legal experience. Qualified candidates should have relevant experience from an international business law firm, possibly completed by similar experience in-house.− International exposure in education or professional experience, fluent in legal professional French and English (speaking and writing).− Excellent legal education and high-quality professional experience, coupled with superior communications skills, the potential for handling complex legal situation, creative problem-solving ability and a strong general business orientation are essential qualifications.
